Terms and Conditions of Sale: Application:

The Sale of Liquor Act 1999 restricts the sale of liquor in New Zealand to persons aged eighteen years of age or older. Proof of age is to be supplied by way of photo drivers licence, passport or the Hanz approved 18+ card on request.

1. All goods supplied by Centre City Wine and Spirit Merchant (CCWSM) to the Customer are supplied on these terms and conditions. The Customer will be deemed to have accepted these terms and conditions each time the customer orders goods from CCWSM. Any variation on these terms and conditions must be in writing and signed by a representative of CCWSM. Price:

2. The customer must pay the price for goods indicated on the invoice which is provided by CCWSM. CCWSM can alter prices without notice and prices charged may be different from prices provided at the time of order.

3. Prices will include GST unless otherwise stated.

4. The customer is bound to pay the price from the time that CCWSM accepts the order. An order is not binding on CCWSM until it is accepted by CCWSM. Payment:

5. Payment is due on delivery unless CCWSM has agreed in writing to provide the Customer with credit.

6. CCWSM may impose a credit limit at its discretion and alter the credit limit without notice. Where the credit limit is exceeded, CCWSM can refuse to supply goods to the Customer.

7. The Customer cannot withhold payment or make deductions from any amount owing by the customer without CCWSM's consent. Delivery:

8. CCWSM will use all reasonable efforts to deliver the goods to the Customer on any delivery date or time specified.

9. CCWSM is not liable for any delay in delivery. Risk and Ownership:

10. Risk of any loss, damage or deterioration of or to the goods passes to the Customer on delivery (or from the time the Customer fails to accept the goods or requests delayed delivery).

11. Ownership of the goods remains with CCWSM and does not pass to the Customer until the Customer: (a) pays all amounts owing by the Customer to CCWSM. Default:

12. If an event of default occurs CCWSM may suspend or terminate the contract.

13. If an event of default occurs, all amounts owing by the Customer shall immediately become due and payable notwithstanding that the due date has not arisen.

14. CCWSM is entitled to recover from the customer all legal, accounting and other costs incurred by CCWSM arising from the collection of any amount owing by the Customer. Words Used in the Contract: 14. "CCWSM" means Centre City Wine and Spirit Merchant.

15. "Customer" means the person purchasing the goods from CCWSM pursuant to the contract.

16. An "Event of Default" means an event where: (a) the Customer fails to comply with the terms of the contract or any other contract with CCWSM or (b) the Customer commits an act of bankruptcy; or (c) the Customer enters into any composition or arrangement with its creditors; or (d) if the Customer is a company: (i) the Customer does anything which would make it liable to be put into liquidation; or (ii) a resolution is passed or an application is made for the liquidation of the Customer; or (iii) a receiver or statutory or official manager is appointed over all or any of the Customer's assets. "Goods" means goods or services ordered by the Customer from time to time under the contract, and references to delivery of goods will include the provision of services. "Person" includes corporation, association, firm, company, partnership or individual. "Price" means the purchase price of the goods and any costs payable by the Customer under the contract relating to transportation, storage and insurance, including any deposits.

All deliveries to suburban areas of Wellington will incur a freight charge.
